This Website Development Contract (the "Contract") is entered into on today's date ("Effective Date") between Kraken Media LLC, a Florida Limited Liability Corporation ("Kraken Media"), and the client named above ("Client").

1. SCOPE OF WORK - Kraken Media agrees to provide web development services as described in in electronic correspondence sent from the administrative email address of "developer@krakenusa.com" (the "Services").

2.  PAYMENT – Client agrees to pay Kraken Media for the Services as outlined in electronic correspondence sent from the administrative email address(s) of developer@krakenusa.com and info@krakenusa.com. All payments shall be made in U.S. currency to the bank account specified by Kraken Media or via other approved electronic payment methods. Client authorizes Kraken Media to charge the credit card or payment method on file for all recurring service fees and any incidental charges related to services rendered, including overages, add-ons, or approved hourly work outside of the original scope. All payments shall be made according to the payment terms outlined on the monthly invoices sent to the client via electronic correspondence. Late fees in the amount of 25% of the original invoice may be applied to any invoice that remains unpaid for over 30 days and will compound monthly for as long as the balance remains past due.

3. OWNERSHIP AND INTELLECTUAL PROPERTY - Kraken Media shall own the website and all intellectual property rights associated with it, except for any pre-existing materials provided by client.  Kraken Media retains the right to reuse any non-proprietary code, libraries, or tools developed during the project for other clients or projects. Agreeing to these terms constitutes expressed permission for Kraken Media and it's agents to use, display, alter, duplicate, and transmit any media provided to Kraken Media by the client.

4. LIABILITY - Kraken Media shall not be liable for any damages, including but not limited to consequential, indirect, or punitive damages, arising out of the use or inability to use the website. Kraken Media is not responsible for any losses resulting from website downtime, errors, or omissions in the website.

5. INDEMNIFICATION - Client agrees to indemnify and hold Kraken Media harmless from any claims, losses, or damages arising from the use of the website or any content provided by the Client, created by Kraken Media on the client's behalf, or displayed on the client's domain.

6. MAINTENANCE - Kraken Media is responsible for the maintenance and support of the website for 7 days following the project's completion or the client terminating services. Maintenance terms and fees are outlined in their entirety via separate electronic correspondence sent by Kraken Media from the administrative email address of "developer@krakenusa.com".

7. TERMINATION - Either party may terminate this Contract in the event of a material breach by the other party, provided written notice of the breach is given, and the breaching party fails to cure the breach within 7 days. Kraken Media retains ownership of all intellectual property, assets, domain(s), etc. associated with the website until final payment in full is made on all outstanding invoices including any late fee(s).

8. CONFIDENTIALITY - Both parties agree to maintain the confidentiality of all non-public information and materials shared during the project.

9. ENTIRE AGREEMENT - This Contract constitutes the entire agreement between the parties and supersedes all prior agreements, whether written or oral.  This agreement can be amended by Kraken Media via electronic correspondence.  Any amendment are not subject to the acceptance of the Client.

10. GOVERNING LAW - This Contract shall be governed by and construed in accordance with the laws of Florida, United States, without regard to its conflict of laws principles.

IN WITNESS WHEREOF, the parties hereto have executed this Website Development Contract as of the Effective Date.
